Bulletin from the Extraordinary General Meeting on March 27, 2017

On the 27th of March, 2017, Vicore Pharma Holding AB (publ) held an Extraordinary General Meeting. The following resolutions, among others, were passed.

Amendment of the Articles of Association
To enable the board of directors’ resolution to issue new shares, resolved 23rd February 2017, the general meeting resolved to change the limits for the total number of shares and the share capital in the Articles of Association. The share capital shall be not less than SEK 2,500,000 and not more than SEK 10,000,000. The number of shares shall be not less than 5,000,000 and not more than 20,000,000.

Approval of the Board’s resolution to issue new shares
It was resolved to approve the board of directors’ resolution to issue new shares, resolved on 23rd February 2017, through which the share capital will increase with SEK 750,000 through a directed share issue of 1,500,000 new shares. Right to subscribe for new shares shall, with deviation from the shareholders’ pre-emption rights, only fall upon certain selected strategic and institutional investors. The reasons for the deviation from the shareholders’ pre-emption rights are that the company shall, in a timely manner, ensure to secure the company’s capital need for the operations, as well as to broaden the ownership structure of the company with strategic and institutional investors

The subscription price for the share issue was on 23 February 2017 determined to SEK 16 per share. The subscription price has been determined through a so called private placement procedure.
